An offering circular is a type of prospectus that is provided for new security listings. It is given to potential investors, individuals and brokerage houses, who could be interested in buying the newly issued securities.
The offering circular document forms the basis of an investor’s investment decision. It also constitutes the listing particulars which are submitted to and approved by the stock exchange on which the bonds are to be listed.
What is in an offering circular?
The content of the offering circular is fairly standard and will include the terms and conditions of the bonds, the use of proceeds, a description of the issuer and its business activities, details of the issuer’s management, financial information, tax information and selling restrictions.
